Company Establishment and Structuring – Company Affairs Department
Department Overview
The Company Establishment and Structuring Section is responsible for:
- Implementing the provisions of laws and regulations governing the supervision of commercial companies.
- Monitoring and inspecting commercial companies to ensure compliance with the Commercial Companies Law and their Articles of Association. This includes conducting inspections, reviewing accounts, and verifying adherence to regulatory provisions.
- Identifying and documenting violations of the Commercial Companies Law or executive decisions thereof.
- Supervising the establishment of commercial companies and reviewing the Articles of Association in accordance with the provisions of the Commercial Companies Law.
- Overseeing the liquidation of commercial companies as stipulated by the Commercial Companies Law.
- Supervising processes related to mergers, divisions, or liquidations of commercial companies in accordance with the Commercial Companies Law.
- Reviewing requests to amend commercial company documents or Articles of Association.
- Reviewing applications for capital increases or reductions, ensuring alignment with the provisions of the Commercial Companies Law.
- Addressing inspection and investigation requests from commercial companies.

- Decision of the Minister of Commerce and Industry No. 35 of 2019 specifying procedures for establishing commercial companies and issuing required licenses through the Single Window System.
- Decision of the Minister of Economy and Commerce No. (434) of 2017 amending certain provisions of Decision No. (47) of 2005, which determines fees for services provided by the Ministry of Economy and Commerce.
